Then it will probably wait until you are connected and keep asking you to activate it. MS never gives up.

I didn't want to upgrade at first, either, but really, that product activation is no big deal. If you have a legal copy of XP, you'll be fine. At least XP (and any other OS) is way better than WinME, which is a good reason to upgrade.
