Game crashed to Desktop, Kills Video Driver

Doesnt that title sounds like a newspaper headline? Anyhow, got Civ 4 friday night, tried to play, too much lags, tweaked it a bit, tiny bit less lags, was playing for a bit and now Crash to Desktop.

Not only that, the crash kills my video driver. Before crash my resolution was 1280x1024 (normal usage/desktop), but I played at the LOWEST graphics settings (just to clarify, thats 1024x768). After the crash, my resolution stays at 1024x768 and cuts off a chunk of my desktop (icons stays at same location, no auto arrange). When I tried to change the resolution, Windows tells me that the video driver (which is the LATEST nVidia driver for my FX5200) is for previous version of windows and is not compatible, so it switched to VGA mode for me. Well, thats not good. So I reinstalled the video driver, no problem so far, but when it asked me to reboot, I click YES, but windows wont, just sits there, cant even do it from the Task Manager, it just wont restart or shut down. I had to hard reset the system, which is something I never had to do before, which isnt good either.

Anyhow, here's my system specs:
Intel P4 2.4GHz 800MHz FSB
MSI Neo2-FIS2R motherboard with 865PE chipset
1 GB PC3200 RAM
On-board Sound w/ latest drivers
Gainward GeForce FX5200 128MB w/ latest driver installed, AGP 8X
A bunch of GB of HDD
Windows XP Pro SP2 w/ latest updates
in fact, everything have the latest drivers, because I just reformatted like 2 weeks ago.

So yea, the dxdiag.txt is also attached. Just want to see if anyone could suggest anything, cuz it happened twice in the past two hours. Also, I'm thinking of upgrading my 2 1/2 yrs video card that's been working fine up till Civ 4, could someone suggest a mid-range card that would let me "enjoy" playing Civ 4, keyword, ENJOY...? Might just stick with this one for now cuz I really dont play any RTS games (or any FPS), actually, any other game except Civ III and now...barely, Civ IV. And how about some tweaking guide for the INI file? Or at least the possible values for each line of it. Was doing some tweaking (of the codes) but was only able to turn off the in-game movies, doesnt it makes you feel like you're playing Civ III? I mean with the no-in-game movie and all. Yea, I'll attach the INI file too.
