i can access this file but not edit it? Can anyone tell me why??

Why would you want to edit it? Maybe you don't have user rights to modify files in the folder Program Files? Or perhaps you're using wrong program to open the file? You can edit it e.g. with notepad.

Anyway, perhaps you can copy this file to a parallel folder under My Documents\My Games\Civ4\CustomAssets\xml. Generally, editing files in civ4 install dir is not a good idea.
