How do I find out what process is using a certain *.dll file?

There is a file on my computer I need to erase in order to install MATLAB. The file is mfc71enu.dll, by all accounts, it's a legitimate file.

I can't erase it as it is being used by something on my machine (Windows XP OS). It is not one of the usual programs, as it is being used even when nothing is open, so I'm guessing it's one of the many processes that are running in the background.

Is there some sort of utility that will allow me to determine exactly what process is using the file?

EDIT: I've even tried to erase it in Safe Mode, but to no avail. Suggestions?
 
Yeah, process explorer does it...for me, it was the avgcc.exe that was using the dll..but use the procexp..great tool.
