PC upgrade query?

I am by no means a PC expert but suffice to say my aging PC is finally starting to struggle with today's games, Civ V being one of the main culprits. What I'd really like to know is what could and should be done to make my PC suitable? I'm guessing the Video Card, the Win XP OS, and the RAM would be immediate considerations for upgrade, but would appreciate any feedback that you guys could provide. Here's my current system:

Windows XP is fine honestly. 2GB of RAM is a bit low, maybe bump it up to 4GB ($100). You could probably get a Radeon 5770 1GB for $130.
 
you need to change CPU to Quad Core and GPU to nvidiaHD5xxx/6xxx series (HD6xxx are not out yet would recommend 5770 for basic card and 5870 for high end.) or nvidia equivalent 3xx and 4xx i think.

Doing so he would loose 100$ on RAM.. as 32Bit only accepts about 3.6Gigs.. so he would still only utilize same amount of RAM as now because VRAM counts as well.
