Click on them to start a dialogue.
Tell then you want to propose a deal.
Click on all their cities, all their techs, their whole bank account, and you are only offering Cease Fire.
They will refuse your deal.
Click on What would make this deal work?
This will open a dialogue-box telling you that you cannot negotiate this way or something like that
BUT
The action screen right there in the middle now has the option for We accept your offer. All those things you demanded are still on the table! By all means, accept the offer. Voila! You get all his cities (except his capital), all his techs, whatever you asked for.
