As with everything else in the Discuss Menu the AI can say No. This would result in a minor diplomatic penalty.

How much of a minor diplomatic penalty, and when would the AI say yes and no?

I don't think this needs a diplomatic penalty at all, honestly.

Also, is there a cooldown on this?

You missed Afraid, but those civs will always sell Open Borders to you anyway.
