It's a limitation of Civ2, just like you can't get over 30,000 gold.
If you have Civ2 MGE or ToT, you can download one of the No Limits patches here: http://www.civfanatics.com/civ2/downloads/utilities/
That patch will allow you to play on bigger random maps, get more than 30,000 gold and grow a population of over 320 million.

You can grow your population larger than 320 million, it just does not show, but it does add to your civ score. I do not recall anyone ever determining the upper limit for population in any version of civ 2.

Is it my imagination or does your score go negative if your population is too high?
I just played GOTM 71 and my population grow beyond 320 M. I didn't notice a negative score. It just grow every turn my empire became bigger. If I have more time I try to let it grow to find out if there is a max number. IIRC somebody mentioned that the max city-size is 128. I will try it out.
